Price and Payment

Pricing

The prices for the goods will be as stated in the Seller’s quotation or as otherwise agreed upon in writing. Unless otherwise specified, prices are exclusive of any applicable taxes, duties, or shipping charges.

Payment

Payment for goods must be made in the currency and within the timeframe specified in the Seller’s invoice or as otherwise agreed upon in writing. The Seller reserves the right to require partial or full payment in advance, impose credit limits, or set specific payment terms.

Delivery

Delivery Timeframe

The Seller will make reasonable efforts to deliver the goods on the agreed-upon date or within the agreed-upon timeframe. However, delivery dates or timeframes provided by the Seller are estimates and not guaranteed.

Delivery Process

Delivery will be made as soon as possible after the Buyer’s order is accepted.

Risk of Damage or Loss

Transfer of Risk

The risk of loss or damage to the goods passes to the Buyer upon delivery. The Buyer is responsible for inspecting the goods upon receipt and notifying the Seller of any discrepancies or damages within a reasonable timeframe.

Acceptance and Returns

Acceptance

The Buyer must inspect the goods promptly upon receipt and will be deemed to have accepted the goods unless the Buyer notifies the Seller of any non-conformity or defect within a reasonable timeframe.

Returns

The Seller may, at its discretion, consider returns or exchanges of goods that do not meet the agreed specifications or are defective. The Buyer must notify the Seller within the specified timeframe, provide relevant evidence if required, and follow the Seller’s return procedures.

Limitation of Liability

Direct Damages

The Seller’s liability for any direct damages arising from the goods or their use is limited to the invoice value of the specific order related to the claim.

Indirect Damages

The Seller shall not be liable for any indirect, consequential, incidental, or punitive damages, including lost profits or business interruption, arising out of or related to the goods or their use.

Force Majeure

Neither party shall be liable for any failure or delay in the performance of its obligations under this Agreement if such failure or delay is due to circumstances beyond its reasonable control, including but not limited to acts of God, war, terrorism, labour disputes, natural disasters, or governmental actions.

Product Usage

None of our products are fire retardant. Our products are intended for indoor use, and we do not recommend leaving any products outside. This may result in dyes running and cause damage to the surrounding area, especially darker colours such as reds.
